Summarised, these include: The first step of a dissolution is the organisation of a special AGM held to discuss the dissolution and the appointment of a person to handle the dissolution. Next, the decision has to be published in a French newspaper’s legal announcements page and also recorded: with the tax office, with the Greffes du Tribunal de Commerce and on the Registre du Commerce et des Societes at the Chamber of Commerce. The liquidator then has up to three months to carry out the liquidation which includes activites such as completing the books and completing the profit and loss report. Other necessary formalities to complete the dissolution include recording the decision with the tax office and a copy of the decision with Greffes du Tribunal de Commerce as well as, finally, the de-registration from the Registre du Commerce at the Chamber of Commerce. Once these obligations are all fulfilled, the closure of the business entity in France is finalised.
